Ms. Bucci represents institutional lenders in commercial lending transactions, workouts and reorganizations. She concentrates on the documentation, structuring and recovery of corporate and asset-based loans, including multi-lender syndicated loans, first and second lien loans, term and revolving credit facilities, working capital loans, senior and subordinated debt loans, acquisition loans and equity co-investments. Much of Ms. Bucci’s practice has involved specialty lending, including to manufacturers, retailers and distributors.
Ms. Bucci also has extensive experience in negotiating intercreditor agreements, subordination agreements and security documents and in the creation and perfection of liens and security interests in all types of collateral under the Uniform Commercial Code and other applicable state and federal laws (including security interests in intellectual property and non-Uniform Commercial Code collateral). She also has experience representing creditors’ committees, bondholders, and other creditors and debtors in insolvency proceedings.
Ms. Bucci frequently advises clients on bankruptcy and creditors’ rights issues, in connection with matters in and out of Bankruptcy Court, and she regularly appears in state court in connection with prejudgment relief and other civil litigation.

• Represented Agent in syndicated secured financings involving complex domestic and international collateral security issues.
• Represented Agent in asset-based lending transactions with manufacturers, retailers and distributors.
• Represented lenders in connection with private equity acquisition finance transactions (including equity participations) of $80 million and $100 million.
• Represented second lien lenders in financings of diverse industry portfolio of companies.
• Represented Agent in domestic loan workouts and out-of-court restructurings of $100 million, $80 million and $70 million syndicated facilities.
• Represented Agent in connection with $100 million loan to foreign borrower, including as to guarantees and security granted by a dozen foreign operating subsidiaries, including as to software escrow arrangements and complex international collateral issues.
• Represented Agent in connection with partial strict foreclosure and post foreclosure restructure of loan to consumer electronics company, including as to complex trademark license issues.
• Represented unsecured creditors committee in large domestic bankruptcy in connection with review of debtor-in-possession financing and post-bankruptcy financing transactions.
• Represented secured equipment lessor in collection action, including preliminary injunctions, attachments and other pre-judgment relief.
• Represented unsecured creditors in defense of preference actions in the bankruptcy context.
