PARALEGAL»
Corporate Paralegal (New York, NY)


Position Summary:

Participate as a team member and assist partners, associates and/or other paralegals in various corporate transactions (primarily LSTA distressed debt and trade claims transactions, but may also include mergers and acquisitions, asset purchase agreements and credit agreements) by providing an integral role in the work required for the transactions. Assist in drafting, reviewing and organizing various documents related to LSTA and other corporate transactions. Provide ongoing corporate maintenance and assistance to an assigned client base. Support partners and associates in all responsibilities associated with preparing drafts and closing trades; corresponding with clients, opposing counsel and Agent banks. Availability for overtime is required.

Responsibilities:

• Prepare, edit and review standard LSTA trade documentation including, but not limited to, Purchase and Sale Agreements, Assignment and Acceptance Agreements and Purchase Price Letters.

• Assist supervising attorneys with upstream reviews and inventory allocation maintenance.

• Manage all aspects of trade closings, including coordination of client, counterparty and (if necessary) agent signature; create and maintain closing checklists, status reports and closing files.

• Draft general corporate documents including, but not limited to, by-laws, certificates, resolutions, board minutes, and stock transfer documents; compile information and prepare schedules and exhibits to agreements; obtain name reservations, certified copies of corporate documents, certificates of good standing and legal existence from state officials.

• Assist attorneys with due diligence in the areas of UCC searches and filings, corporate records, contracts, leases, environmental reports, etc.

• Assist attorneys with the drafting, preparation and filing of SEC documents, and perform searches on the EDGAR database.

• Assist with closing binder preparation and distribution, and with other corporate document distributions;

• Serve as the liaison with ongoing clients regarding the maintenance of stock records and minute books; provide assistance with other corporate maintenance as necessary

• Perform various other administrative tasks as required or assigned.

Essential Functions:

• Must demonstrate the ability to maintain strict confidentiality of the firm’s internal and personnel affairs.

• Ability to interact effectively with all levels of personnel, including management staff and support staff.

• Ability to plan, organize and carry out multiple related activities.

• Ability to be a proactive, self-starter, who understands the details within a much larger context.

• Must be flexible in order to respond quickly and positively to shifting demands and opportunities; ability to work under tight deadlines and handle multiple, detailed tasks.

• Must be team-oriented and able to share information, goals, opportunities, successes and failures with the appropriate parties.

• Ability to work in a multi-office environment.

• Ability to work effectively in a culturally and educationally diverse environment.

• Must pay attention to details and have the ability to follow up and follow through.

Qualifications:

• Bachelor’s degree.

• A minimum of three years paralegal experience required, with at least one year of experience working with LSTA documents.

• Demonstrated specific and detailed knowledge and understanding of general corporate issues.

• Developed organizational, writing and communications skills.

Staff Accountant (Boston, MA)


Position overview:

Primary responsibilities of this position include reconciliation of general ledger accounts, analyze budget vs. actual reports, and assist in tax filing process and other general accounting functions.

Reporting Structure:

Reports to the Accounting Manager

Responsibilities:

Responsibilities include but are not limited to:

•Reconcile all Firm bank accounts monthly

Reconciliation and accountability for various balance sheet accounts including bank accounts, fixed assets, and equity accounts

•Track and reconcile operating leases

•Reconcile all inter company general ledger accounts

•Analyze and distribute monthly budget v. actual reports to Directors of the Firm

Prepare sales tax filings and Partner K-1 returns

•Cash flow forecast and analysis

•Preparation of internal and external financial statements

Qualifications:

•Bachelor’s Degree preferred

•Two to four years of general accounting experience (Public accounting a plus)

•Ability to multi-task

•Strong sense of urgency

•Strong attention to detail

•Excellent written and verbal communication skills

•Intermediate knowledge of MS Excel strongly preferred

•Experience with Elite Enterprise 3.6 a plus

•Familiarity with partnership tax return filing and K-1’s a plus
