Kristin Gerber‘s practice focuses on the representation of rapidly growing companies operating in high technology industries from formation to exit. She has experience in commercial transactions, corporate finance, venture capital, intellectual property, licensing and strategic alliances, and mergers and acquisitions. Kristin counsels publicly and privately held companies in a variety of industries including information technology (hardware, software and services), energy tech, medical device, life sciences and other high technology sectors and social entrepreneurial businesses.
Prior to joining Brown Rudnick, Kristin served as a judicial intern to the Honorable Chief Judge Joseph Bataillon, United States District Court for the District of Nebraska. Kristin also worked as a corporate auditor for the Union Pacific Corporation, where she audited labor agreements, vendor contracts, Sarbanes Oxley compliance, long-term real estate leases and privacy regulations.
REPRESENTATIVE MATTERS
- Completed millions of dollars of venture capital and other private equity transactions, representing issuers and investors.
- Negotiated the acquisition of public and private companies including acquisitions and dispositions of product lines, divisions and businesses, earn outs and forward and reverse triangular mergers.
- Represented public company clients in a broad range of matters including financing transactions, joint ventures and ongoing reporting and Sarbanes-Oxley compliance.
