Biography

Agnes Abosi is a Private Equity and Corporate Finance partner in Brown Rudnick’s London office. Agnes has over 15 years’ experience providing detailed legal advice on structuring high value complex cross border transactions for leading funds, companies and lending institutions.

Ages has led deal teams to the successful completion of numerous cross-border transactions in various areas including mergers and acquisitions, receivables, real estate and fund financing. This involves leading meetings and negotiations with investors, shareholders, senior partners, management, directors, decision makers and legal representatives at various clients and contracting parties, as well as overseeing diligence of client, contracting and finance parties, corporate, investor, real estate, finance, intercreditor and security documentation.

Agnes creates innovative deal structures to achieve client goals efficiently, as well as producing detailed fee estimates, scopes of work and managing costs, taking a commercial and entrepreneurial approach to negotiations, and managing mid-level and junior solicitors, local counsel and external service providers including tax and surveyors.

Representation

Advising a well-respected fund on the transfer of over £1 billion debt and equity interests; the largest asset transfer of that class by a fund under a single framework agreement.

Advising an investment fund and senior management at an investment business (a regulated administrative and financial service provider) on a £149 million leverage refinancing.

Advising a multi-billion pound listed corporate on its strategic growth structure.

Advising a non-U.K. based fashion and lifestyle focused fund on the acquisition and restructuring of a UK headquartered fashion business.

Advising the sponsor division of a lending institution on a loan to a well-known restaurant business to facilitate its expansion (£60 million).

Advising a real estate fund on the development of a new innovative concept of shared living space and putting in place the equity and debt financing arrangements to achieve their goal (£70 million).

Advising a real estate fund on the receivables and project financing of different power stations in the U.K.
