Chiara Goodyear’s practice focuses in investment transactions, particularly debt and claims trading. She represents investment banks, broker-dealers, hedge funds and other financial institutions in connection with the purchase and sale of various domestic and international distressed assets (including domestic and foreign bank loans, high-yield debt, and claims in bankruptcy and insolvency proceedings). Chiara has extensive experience in the review and analysis of credit documentation relating to credit facilities in a variety of industrial sectors and specializes in primary and secondary trading documentation under both the LMA and LSTA regimes. She has been engaged by investors seeking to acquire strategic positions in the indebtedness of distressed companies, and often provides advice to these clients on related bankruptcy and restructuring issues.

Chiara has advised clients in connection with numerous transactions in bank loans and trade claims relating to both distressed and par borrowers in a variety of industries and geographic areas, including Calpine, Delta Airlines, Interstate Bakeries, and Collins & Aikman.


Represented a large hedge fund in connection with its purchases of the proceeds of various disputed bankruptcy claims in exchange for its guaranty of potential claimholder disgorgement obligations under the borrower’s plan of reorganization.

Represented a newly formed hedge fund in connection with the development of its debt and claims trading activities.
