Biography

Constantino Perez Salgado is a Counsel in our Corporate group. He has eleven years of experience in corporate, mergers and acquisitions, capital markets and private equity transactions in Spain and Latin America. Prior to Brown Rudnick, Constantino was Counsel in Corporate at Norton Rose Fulbright US LLP where he worked on matters in a variety of international mergers & acquisitions and capital markets transactions.

Representation

Represented several Spanish companies in the higher education, telecom and agricultural sector on expansion into the U.S.

Represented a Panamanian bank, as issuer, in connection with a $100 million Perpectual Corporate Bond Regulation S offering in Panama

Represented account holders with approximately $500 million of exposure in the Refco, Inc. et al. Chapter 11 cases

Represented numerous account holders, counterparties, and other creditors in the Lehman Brothers bankruptcy cases and related SIPA proceedings

Represented Argentine oil company in its Reg S offering of Notes secured by trade receivables, with a local tranche, pursuant to a Medium Term Note Program, for the refinancing of a bridge loan

Represented Sociedad Química y Minera S.A, a Chilean mining company, in its $300 million Rule 144A/Reg S offering and its annual 20-F reporting update

Represented Qatar Holding on subscribing an issue of Banco de Santander bonds convertible into shares of Banco Santander Brasil (5% of its capital). Value: €1,957 million

Represented La Seda de Barcelona on increasing its capital. Value: €300 million

Represented Criteria CaixaCorp (la Caixa) on the sale to Suez Environnement of a 24.5% shareholding interest in Grupo Agbar. Value: €666 million

Represented Criteria CaixaCorp (la Caixa) on the acquisition of a 99.77% stake in Compañía de Seguros Adeslas from Grupo Agbar and Malakoff Mederic. Value: €1,193 million

Represented Criteria CaixaCorp (la Caixa) as co-controlling shareholder of Agbar in the tender offer launched by Agbar over its own shares in order to delist from the Barcelona, Madrid and Bilbao stock exchanges. Value: €2.992 million

Represented Hisusa’s (la Caixa – Suez) cash tender offer for the remaining share capital in Aguas de Barcelona (Agbar). Value: €4,128 million

Represented Enel on Spanish law in relation to investing in Endesa. Value: €43,000 million
