Our team's background includes acting as counsel to arrangers, lenders, issuers, borrowers, underwriters and credit support providers in a variety of complex securitization and structured finance transactions. We understand the complexities and the dynamics of the structures that now must be dissected in order to identify and locate underlying assets.
Offering a multi-dimensional perspective, we also bring active involvement in and knowledge of bankruptcy scenarios and other types of distressed workouts, as well as related litigation. Collectively, it is this 360° knowledge and dexterity that enable us to, for example, advise clients on their rights with respect to assets and securities that are owned, as well as on the potential acquisition of assets or securities purchased on a discounted basis. We identify fault lines of distressed transactions as well as the levers for various tranche holders. We also guide clients in the design and execution of strategies for minimizing reportable losses, maximizing returns and restoring liquidity to the market on an asset-by-asset, deal-by-deal or macro basis.
With this background, we help clients understand their rights and obligations, and help to identify and act on acquisition, arbitrage, restructuring and repackaging strategies. Our clients include underwriters and structuring agents, proprietary trading desks, hedge funds and private investment funds positioned on either the buy or sell side.

For a major European bank, provided counsel related to their acquisition of tranches of securities in a CMBS securitization in order for the bank to acquire control over certain commercial real estate properties.

In the hedge fund community, assisted funds whose assets were held in prime brokerage accounts of Lehman Brothers, when Lehman Brothers filed for bankruptcy in the US and administration in the UK.

On behalf of an ad hoc committee of bondholders, provided litigation representation regarding bonds issued by a sub-prime securitization issuer with Lehman Brothers as the swap counterparty.

Obtaining Liquidity; Supporting Business Objectives
Understanding clients’ business goals and objectives, we are able to effectively provide advice such that our clients are able to, in certain areas, obtain the liquidity they need to advance their business initiatives. For instance, in the public finance arena, we have served as disclosure counsel to issuers of transportation bonds. Likewise, we have assisted borrower’s counsel to non-profit colleges and hospitals in financings through revenue bonds to fund their development projects.
